01Agreement to these terms
SVKT LLC is a limited liability company organized under the laws of the State of Missouri, United States, with its office at 117 S Lexington St Ste 100, Harrisonville, MO 64701-2444 (“SVKT”, “we”, “us”). These Terms of Service (“Terms”) govern your use of svktllc.com and of the products and services we operate (together, the “Services”).
By visiting our websites, creating an account, installing one of our products, buying a subscription or otherwise using the Services, you (“you”) agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf.
02Our products
SVKT builds software for people who make videos. Our products are:
- Nichelix (nichelix.com), a live web service for YouTube niche research. It analyzes publicly available YouTube channel and video data to find niches where small channels, including faceless channels, receive outsized views, and shows derived metrics such as growth, estimated earnings and format labels. Nichelix has a free plan and a paid subscription called Pro, billed monthly or yearly.
- SVKT AI YouTube Creator Tools (svktyoutubetools.com), a Chrome extension available on the Chrome Web Store that works inside YouTube and YouTube Studio. Its features include AI chapter generation from video transcripts, per-video analytics, a 28-day channel overview, analysis of public channels and Shorts tools. The extension is free to install.
- Vidiculous, an AI video production engine that is in development. Vidiculous is not yet offered to the public, is not available for purchase, and no terms for its use are offered at this time. Descriptions of Vidiculous on our websites describe planned functionality and are not an offer.
The Services are provided for research, analytics and informational purposes. They are independent products and are not affiliated with, endorsed by or sponsored by YouTube or Google.
03Product-specific terms
Some products have their own terms and policies, which are published with the product. For Nichelix these are the Nichelix Terms of Service (nichelix.com/legal/terms), Privacy Policy (nichelix.com/legal/privacy) and Refund & Cancellation Policy (nichelix.com/legal/refunds). SVKT AI YouTube Creator Tools has its own terms and privacy policy, linked from svktyoutubetools.com.
Product-specific terms apply in addition to these Terms. Where a product-specific term conflicts with these Terms, the product-specific term controls for that product. Anything a product's terms do not address is governed by these Terms. Our Privacy Policy and Refund Policy form part of these Terms.
04Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to create an account or buy a subscription, unless the terms of a specific product set a different minimum age for that product. The Services are not directed to children.
- Give accurate information when you register and keep it up to date.
- Keep your login credentials secure. You are responsible for all activity under your account.
- Accounts are personal. Do not share an account between people or resell access to it.
- Tell us promptly at support@svktllc.com if you believe your account has been accessed without your permission.
Sign-in for some products is handled by third-party authentication providers, including Google sign-in. Your use of those sign-in methods is also subject to the provider's own terms.
05Subscriptions, fees and taxes
Paid plans, their prices and their billing periods are shown on the relevant product's pricing page and at checkout before you pay. Prices are stated in US dollars unless checkout shows otherwise.
- Subscriptions are billed in advance for each billing period (for example, monthly or yearly) and renew automatically at the end of each period until you cancel.
- You can cancel at any time. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for.
- We may change subscription prices with at least 30 days' notice by email. A new price applies from your next renewal after the notice period, and you may cancel before it takes effect.
- Applicable sales tax, VAT or similar taxes are calculated at checkout based on your location, unless they are already included in the price shown.
Payments are processed by Stripe, Inc. For some transactions, including Nichelix subscriptions, Stripe's Managed Payments service and its Link service act as the merchant of record. In that case the checkout page, receipts and invoices are provided by Link, the charge appears on your statement under Link's descriptor, and Link's own terms also apply to the payment. We never receive or store your full card number.
If a payment fails, the payment provider may retry it, and we may suspend paid features until the balance is settled.
06Cancellations and refunds
Cancellations and refunds are governed by our Refund Policy and by the refund policy of the relevant product. For Nichelix, that is the Nichelix Refund & Cancellation Policy at nichelix.com/legal/refunds. In short, cancelling stops future renewals and you keep access until the end of the paid period; we do not refund unused time, except in the specific cases listed in those policies or where the law requires it.
07YouTube data and Google services
Our products use publicly available YouTube data and the YouTube API Services. Where a product asks you to connect your own Google or YouTube account, as SVKT AI YouTube Creator Tools does for YouTube Studio features, that access is read-only and you can revoke it at any time from your Google Account permissions page.
By using any feature of our Services that relies on YouTube data, you also agree to be bound by the YouTube Terms of Service, and you acknowledge that Google's handling of data is described in the Google Privacy Policy.
Channel names, thumbnails, video titles and other YouTube content shown in our products belong to their respective owners. We display them for research and analysis only, and you must not use the Services in a way that violates YouTube's or Google's terms. If YouTube or Google changes or withdraws an interface or data source, features that depend on it may change or stop working.
08Estimates, AI output and no professional advice
Many figures in our products are derived or estimated. In particular:
- Earnings figures are estimates based on public benchmarks and models. They are not actual earnings of any channel and are not a promise of what you will earn.
- Labels such as “faceless” or “AI-generated”, growth figures and other classifications are produced automatically, partly with third-party AI models, and can be wrong or out of date.
- Text produced by AI features, such as generated video chapters, may be inaccurate or incomplete. Review it before you publish or rely on it.
Nothing in the Services is financial, investment, legal or tax advice. Do not make financial decisions based solely on data or output from our products. You are responsible for the content you create and publish, and for complying with the rules of the platforms you publish on.
09Acceptable use
You agree not to:
- use the Services in violation of any applicable law, or of the YouTube Terms of Service or Google's terms;
- scrape, crawl, bulk-export or otherwise extract data from the Services beyond normal personal use, including through bots or automated scripts;
- resell, sublicense, redistribute or publish data or derived metrics from the Services as your own data product;
- attempt to bypass access controls, usage limits, rate limits or payment, or to access another user's account or data;
- probe, scan, load-test or attack our systems without our prior written consent;
- reverse engineer, decompile or copy the Services, except to the extent this restriction is prohibited by law;
- upload malicious code, or use the Services to harass others or to infringe anyone's rights.
We may suspend or terminate access that breaches these rules. Where continued use presents an immediate security, legal or operational risk, we may act without prior notice and will tell you why as soon as reasonably possible.
10Intellectual property
We own the Services and all related software, designs, models, derived metrics, documentation and trademarks, including SVKT, Nichelix and Vidiculous. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Services for as long as you are permitted to use them. No other rights are granted.
You keep ownership of content you provide to the Services, such as collection names or notes. You grant us a limited licence to host and process that content only to operate and support the Services for you.
If you send us feedback or suggestions, we may use them without any obligation or compensation to you.
11Third-party services
The Services rely on, and link to, services operated by third parties, including YouTube and Google, payment processing by Stripe and Link, authentication providers, cloud hosting providers, email delivery providers, analytics and advertising measurement providers, and AI model providers. Those services are governed by their own terms and privacy policies. We are not responsible for their availability, content or acts, but we choose them carefully and describe how they handle personal data in our Privacy Policy.
12Availability and changes to the Services
We aim to keep the Services available and accurate, but we do not guarantee uninterrupted or error-free operation. Data is refreshed regularly and may be delayed or incomplete. We may carry out maintenance, and we may improve, change or discontinue features or products.
If we discontinue a paid product entirely, we will give subscribers reasonable advance notice, and refunds will be handled as described in our Refund Policy.
13Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Services, their data, estimates or AI output will be accurate, complete, current or suitable for your purposes.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14Limitation of liability
To the maximum extent permitted by law, SVKT LLC and its members, managers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Services or these Terms, even if we were advised of the possibility of those damages.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Services or these Terms is limited to the amount you paid us for the relevant Service in the 12 months before the event giving rise to the claim.
These limits do not apply to liability for fraud or willful misconduct, or to any liability that cannot be limited or excluded under applicable law, including mandatory consumer protection law.
15Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless SVKT LLC from third-party claims, losses and reasonable costs, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services, or content you publish using the Services. We will notify you of any such claim and may participate in its defence with counsel of our choice.
16Suspension and termination
You may stop using the Services at any time. You can delete your Nichelix account from its account settings, and you can remove SVKT AI YouTube Creator Tools from Chrome and revoke its Google access at any time. Deleting an account does not by itself cancel a subscription billed by a payment provider; please cancel the subscription first, as described in our Refund Policy.
We may suspend or terminate your access if you materially breach these Terms or a product's terms, if required by law, or if your use creates risk for us or other users. Where practical, we will give notice and an opportunity to fix the problem first.
Sections that by their nature should survive termination survive it, including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification and governing law.
17Governing law and disputes
These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws rules. Subject to the next paragraph, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Missouri, and you and we consent to their jurisdiction and venue.
Before starting formal proceedings, please contact us at legal@svktllc.com so we can try to resolve the matter informally within 30 days. If you are a consumer, nothing in these Terms takes away rights you have under the mandatory consumer protection law of the country where you live, including any right to bring proceedings in your local courts.
18Changes to these terms
We may update these Terms as our products and legal obligations change. If a change is material, we will announce it by email or in the relevant product at least 14 days before it takes effect. Continued use of the Services after the effective date means you accept the updated Terms. The date at the top of this page shows when these Terms were last updated.
19General provisions
These Terms, together with our Privacy Policy, our Refund Policy and any applicable product-specific terms, are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of all or substantially all of our assets. Nothing in these Terms creates a partnership, agency or employment relationship. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are written in English, and the English version controls over any translation.
